Question S&W Model 639

I've mentioned to a couple folks already that there is a Model 639 for sale at a local MA shop. Tagged price is $450 but the shop has already indicated to me that there may be some room to move on the price if I am interested. The gun is generally in great shape for its age, but here are my concerns:

1) No original factory box or paperwork
2) Only one magazine, neither original nor stainless
3) Pachmayr rubber grips in so-so shape - original wood grips not included
4) Truly ****** fixed sights that I'd never be able to live with

Yes, I'm mainly a 3rd Gen collector/accumulator but I had high hopes for a real "collectable" (in my poor man's definition) 2nd Gen gem when I saw this gun listed. Now I am just wondering if it makes any sense at all. Being all stainless (except the magazine), the gun is heavy as a lead brick. Kind of funny, actually, when you pick it up if you are used to the 39 and 59 1st Gens as I am.

So what would you do? Money is tight... but then again, money is always tight in my household. And "tax-free" weekend is only 17 days away and the shop does lay-away!

Is it worth the trouble and expense of replacing the sights, grips and magazine on a 2nd Gen Model 639? What's the most you would want to put into a gun like this to bring it back to its original configuration & condition, albeit with new, decent quality fixed or adjustable sights and a few new stainless steel magazines?
